Family Business Governance

We have helped many families who own major family businesses carry out a joint reflection process to facilitate the sharing of ideas, allowing them to reconcile the needs of the family with the demands of the future development of the company or group of companies.
The primary goal is to ensure that the family and the business form a single, cohesive unit, bound by ties of affection, social awareness, and professionalism. We aim to establish rules that simultaneously address the legitimate concerns and needs of family members while upholding the professional criteria that must govern the management and direction of business activities. To achieve these objectives, we advise family members on reaching a common commitment regarding all essential aspects of the family business, initiating a formalized contractual and constituent phase. This is captured in a document known as a "Family Protocol," which is intended to regulate fundamental aspects related to the composition, operation, organizational structure, and management of family businesses, as well as the interactions between the partners as family members, professionals, and business owners.
Given the significance and importance that such a document can have on the future, development, and survival of the family business, we agree to establish a model of communication and consensus among the parties for decision-making to regulate the relationships between family, ownership, and business. Furthermore, it involves establishing and defining the values and principles that must fundamentally govern the internal relationships of family members, serving as the foundation for the consolidation and proper development of these relationships within the family business, such as:
- The survival of the family business.
- The business interest must take precedence over the personal interest of family members.
- Maintaining the common family foundation.
- Professionalism.
We consider it essential for the successful development of a family business to capture its characteristics, objectives, and philosophy in a document, along with the agreements reached. These are all aimed at establishing a set of internal operating rules for the matters and aspects considered fundamental to the business, as well as for its consolidation. This document is key to guaranteeing the future path and evolution of the family business.
